Non Disclosure Agreement

Due to the sensitive nature and the neutrality of this event, marketing, sales, and/or other personnel must be aware that this is not the appropriate place for promotional activities.

This testing event is neither a conference nor a workshop (showroom, trade
show...), it is therefore strictly an engineering event!
As such, we request that participants either:

  • Provide implementation for the tests
  • or eventually test the system

To guarantee good compliance to the rules, the event is under non Disclosure Agreement (NDA).

All participating companies are required to sign a Non-Disclosure Agreement (NDA) as a condition of participation. There should be two signed NDA per registered company. The two signed copies should be sent at the latest by 24th October 2008 to:

Why a template Non-Disclosure Agreement for Plugtests™ Events?
It is important for ETSI to ensure that participants to Plugtests™ events know in advance the terms and conditions under which their company will be bound when delivering confidential information.
In addition, the handling of a template NDA for Plugtests™ events allows ETSI to process your registration more efficiently.

Is our company authorized to add, withdraw, or modify any provision of the Non-Disclosure Agreement for Plugtests™ Events?
No. The template NDA has been produced to protect the interests of companies participating in Plugtests™ events. In order to place all the Participants in a fair and non-discriminatory situation, each Participant has to sign a similar copy of the Non-Disclosure Agreement for Plugtests™ events. Changing the provisions of one NDA only for one participant would place him in better/worse situation than the others, which is not acceptable.

Is it one Non-Disclosure Agreement per Participant or per company?
It is one Non-Disclosure Agreement per company. Indeed, as set in Step 1 registration process, it is a company which is registering for a Plugtests™ event and it is then the responsibility to that company to send the participant(s) they have chosen

Who should sign the NDA ?
The signatory of the NDA for Plugtests™ event has to be an authorized person by the company which has registered for a Plugtests™ event.

I would like to change the jurisdiction clause
Being a standard agreement (see Question 1), this NDA cannot be customized by ETSI on a case-by-case basis.  As ETSI is a nonprofit association, with its headquarters in Sophia Antipolis (France), the competent court is then the Court of Justice of Grasse (France). This applies to all participating companies.
